CONTENTS
1 INTRODUCTION
1.1 These THE ICONIC Front Row Terms & Conditions (“Program Terms & Conditions”), which are incorporated into THE ICONIC Terms & Conditions (“General Terms”) and incorporate THE ICONIC’s Privacy Policy (“Privacy Policy”) and any other documents referred to within these Program Terms & Conditions, govern your (“customer” or “member”) participation in THE ICONIC Front Row loyalty program (“THE ICONIC Front Row” or “the Program”) operated by Internet Services Australia 1 Pty Ltd (ABN 50 152 631 082) (“THE ICONIC”). It is each member’s responsibility to read and understand these Program Terms & Conditions.
1.2 Membership of THE ICONIC Front Row is only available to eligible customers of THE ICONIC who have registered a Customer Account. Registering for a Customer Account with THE ICONIC or otherwise joining or participating in THE ICONIC Front Row constitutes acceptance of these Program Terms & Conditions in their entirety.
1.3 Members will be provided with the opportunity to review these Program Terms & Conditions when joining or being enrolled into THE ICONIC Front Row.
1.4 These Program Terms & Conditions are effective as of the date specified above. The most recent Program Terms & Conditions are always available on THE ICONIC’s websites http://www.theiconic.com.au/ and https://www.theiconic.co.nz/ (inclusive of subdomains).
1.5 THE ICONIC reserves the right to make changes to THE ICONIC Front Row at any time in its sole discretion (provided that any change to these Program Terms & Conditions which in THE ICONIC’s reasonable opinion may have a material detrimental impact to members will be subject to reasonable prior notice to members) and may modify, suspend, or terminate any aspect of the Program including ICONS, Rewards, and any other benefits provided as part of the Program. If a member continues to participate in THE ICONIC Front Row after any changes are made to the Program Terms & Conditions, they will be deemed to have accepted the changes.
2 PARTICIPATION AND MEMBERSHIP
2.1 By registering for a new Customer Account, an eligible member will automatically join THE ICONIC Front Row.
2.2 To be eligible to join THE ICONIC Front Row, a member must reside in Australia or New Zealand and be aged 18 years or over.
2.3 Members are only permitted to register one THE ICONIC Front Row Profile. Merging of THE ICONIC Front Row Profiles or Customer Accounts is not permitted.
2.4 Membership is valid from the date a member joins or is enrolled into THE ICONIC Front Row.
2.5 THE ICONIC reserves the right to deny or revoke membership of THE ICONIC Front Row at its sole reasonable discretion as set out in these Program Terms & Conditions.
2.6 Some eligible Customer Account holders will be automatically enrolled into THE ICONIC Front Row. Such customers can terminate their Program participation and cancel their THE ICONIC Front Row Profile as provided in clause 9.1 of these Program Terms & Conditions. All other Customer Account holders who are eligible may choose to join THE ICONIC Front Row at any time.
3 THE ICONIC FRONT ROW STATUS LEVELS
3.1 THE ICONIC Front Row features four Status Levels: Insider, Stylist, Muse, and VIP as follows:
(a) Status Level 1: Insider = 0 - 1,499 ICONS;
(b) Status Level 2: Stylist = 1,500 - 6,999 ICONS;
(c) Status Level 3: Muse = 7,000 - 14,999 ICONS; and
(d) Status Level 4: VIP = 15,000 ICONS and over.
3.2 Members will be allocated a Status Level based on the number of ICONS earned during their Membership Year as shown in the member’s Status ICONS balance. ICONS earned and issued can be viewed in the ICONS summary in a member’s THE ICONIC Front Row Profile.
3.3 A member’s Status Level will be updated within 24 hours when they have reached the required number of ICONS as shown in their Status ICONS balance to upgrade Status Levels.
3.4 If a member’s Status Level has been upgraded during a Membership Year, they will retain that Status Level until the end of the following Membership Year.
3.5 At the end of each Membership Year, THE ICONIC will review the member’s Status ICONS balance to determine if the member’s Status Level will remain unchanged or be downgraded. Subject to clause 3.4, failure to meet the relevant Status Level threshold will result in Status Level downgrading by one level at the end of the Membership Year. Any ICONS shown in a member’s Pending ICONS balance which have not yet moved into a member’s Status ICONS balance at the end of the Membership Year will carry over to the following Membership Year.
3.6 At the start of every Membership Year, a member’s Status ICONS balance will reset to zero.
3.7 THE ICONIC reserves the right to:
(a) upgrade or downgrade a member’s Status Level in its reasonable discretion;
(b) make changes to Status Level rules, thresholds or benefits, provided that reasonable notice is given to members where in THE ICONIC’s reasonable opinion this may have a material detrimental impact to members; or
(c) correct a member’s Status Level where required.
3.8 Any Rewards or other Status Level-based benefits provided to members cannot be converted to or exchanged for money.
4 ICONS
4.1 Members can earn ICONS in the following ways:
(a) Shop to Collect - the purchase of products on the Site which allows members to earn Base ICONS for their Eligible Spend.
(b) Access Extra Offers - other types of offers that may be issued to members from time to time at THE ICONIC’s discretion, including but not limited to offers that allow members to earn Bonus ICONS for the purchase of a product on the Site or the completion of another specified activity.
4.2 To earn ICONS, members must be logged into their Customer Account and must be a member of the Program when an Order is placed. THE ICONIC is unable to retroactively credit ICONS to a THE ICONIC Front Row Profile.
4.3 ICONS are rounded down to the nearest whole amount.
4.4 A member’s ICONS balance will be shown in their THE ICONIC Front Row Profile. It will reflect the following balances:
(a) Status ICONS balance will show all ICONS earned during a Membership Year that contribute towards a member’s Status Level.
(b) Reward ICONS balance will show the ICONS earned by a member that can be converted into a Front Row Reward.
(c) Pending ICONS balance will show ICONS that are pending and will be either adjusted or moved to a member’s Status ICONS and Reward ICONS balances once certain criteria are met as detailed below in clauses 4.6 and 4.7.
4.5 THE ICONIC reserves the right to award, issue, adjust, revoke or expire ICONS at its discretion, acting reasonably at all times.
4.6 Base ICONS:
(a) Base ICONS are earned through Shop to Collect and are based on Eligible Spend at rates determined by a member’s Status Level as follows:
(i) Insider: 2 ICONS per $1
(ii) Stylist: 2 ICONS per $1
(iii) Muse: 2.5 ICONS per $1
(iv) VIP: 3 ICONS per $1
(b) Base ICONS are earned on the cash component of an Order only and are based on Eligible Spend and a member’s Status Level. The cash component of an Order also includes payment by way of gift card redemption or store credit.
(c) Base ICONS are unable to be earned on:
(i) the purchase of gift cards;
(ii) the payment of Delivery Fees; or
(iii) the redemption of Rewards or Vouchers.
(d) A maximum of 5,000 Base ICONS can be earned per Order, regardless of the number of products included in an Order.
(e) Base ICONS earned are shown in a member’s Pending ICONS balance until the change of mind return period for an eligible product has ended or for 30 days from date of THE ICONIC’s Order confirmation email (whichever comes first), at which point the Base ICONS will be moved from a member’s Pending ICONS balance to their Status ICONS and Reward ICONS balances. Base ICONS earned on products which are ineligible for a change of mind return (such as “final sale” products or products that are excluded for hygiene or other reasons) will be shown in a member’s Status ICONS and Reward ICONS balances instantly.
(f) Where an Order for a product is cancelled or a member returns a product they have purchased due to a change of mind, the member’s Pending ICONS balance will be adjusted in accordance with clause 8 of these Program Terms & Conditions.
4.7 Bonus ICONS:
(a) Bonus ICONS are earned when the individual criteria or conditions of an Access Extra Offer has been met. THE ICONIC may also issue Bonus ICONS to members at its discretion from time to time.
(b) Bonus ICONS earned via Access Extra Offers may be capped based on the terms of the specific offer or activity.
(c) Bonus ICONS earned are shown in a member’s Pending ICONS balance for 30 days following the successful completion or end date of an Access Extra Offer, after which time the Bonus ICONS will be moved from a member’s Pending ICONS balance to their Status ICONS and Reward ICONS balances.
(d) Where an Order for a product is cancelled or a member returns a product they have purchased due to a change of mind, and the purchase of that product was a condition of an Access Extra Offer to earn Bonus ICONS, the member’s Pending ICONS balance may be adjusted in accordance with clause 8 of these Program Terms & Conditions.
5 ACCESS EXTRA OFFERS
5.1 Access Extra Offers may be offered to members at the sole reasonable discretion of THE ICONIC. Members may need to have opted into receiving electronic marketing messages through their Customer Account in order to receive notification of Access Extra Offers via email or various other communications channels. Members who have opted out of receiving marketing messages may not receive notification of all Access Extra Offers, but may still be eligible for certain Access Extra Offers displayed in their THE ICONIC Front Row Profile or on the Site.
5.2 Access Extra Offers may be made available to all members, or only to certain members, Status Levels or member segments, from time to time at THE ICONIC’s discretion.
5.3 Each Access Extra Offer will be subject to any specific terms, conditions, limitations and exclusions communicated by THE ICONIC in connection with that Access Extra Offer.
5.4 Where an Access Extra Offer provides a discount on selected products or brands, the discount will apply only to the eligible product price and will not apply to Delivery Fees, gift cards, taxes, duties or any other fees or charges, unless expressly stated otherwise.
5.5 Access Extra Offers are not redeemable for cash, gift cards, or store credit, and cannot be sold, transferred, or assigned by a member.
5.6 Access Extra Offers may be subject to product availability. THE ICONIC is not required to honour an Access Extra Offer where the relevant product is unavailable, out of stock or removed from the Site.
5.7 Access Extra Offers may not be redeemable if the member places an Order via any automated, AI-enabled or agentic tool.
5.8 To the extent permitted by law (including the Australian Consumer Law), THE ICONIC may withdraw, vary, cancel, suspend or refuse to honour an Access Extra Offer at any time, acting reasonably, including where:
(a) there has been a technical, pricing, typographical or administrative error;
(b) the Access Extra Offer has been misused or redeemed in breach of these Program Terms & Conditions, the General Terms or the specific offer terms;
(c) the member is suspected of fraud, abuse or other improper conduct;
(d) the Access Extra Offer is no longer available due to circumstances outside THE ICONIC’s reasonable control; or
(e) THE ICONIC is required to do so by law.
5.9 If there is any inconsistency between these Program Terms & Conditions and the specific terms of an Access Extra Offer, the specific terms of the Access Extra Offer will apply to the extent of the inconsistency, unless expressly stated otherwise.
6 REWARDS
6.1 All Rewards must be manually applied by a member in their bag at checkout prior to placing an Order. THE ICONIC is unable to retroactively apply a Reward after an Order has been placed.
6.2 All Rewards apply to the total Order value after all other discounts and promotions, excluding any gift cards purchased or Delivery Fees.
6.3 THE ICONIC may allocate a Reward across the products in an Order in the manner determined in its sole reasonable discretion.
6.4 Restrictions or limits may apply to the redemption of Rewards, including but not limited to:
(a) The ability to stack multiple Rewards - only one Reward can be applied and redeemed per Order.
(b) Vouchers cannot be used or stacked in addition to the redemption of a Reward.
(c) A Reward cannot be applied and redeemed to purchase a gift card or pay Delivery Fees.
(d) A Reward may be applied to receive a discount on an Order and cannot be used to cover the entire cost of an Order.
(e) A Reward can only be applied where the Order value is at least $5 greater than the value of the Reward (excluding any gift card purchase and Delivery Fees).
(f) Partial redemption of a Reward is not permitted.
(g) Rewards may not be redeemable if a member places an Order via any automated, AI-enabled or agentic tool.
6.5 Rewards cannot be sold, transferred or assigned to other THE ICONIC Front Row members and are not redeemable for cash or otherwise (including but not limited to store credit, gift cards or Delivery Fees).
6.6 Redemption of Rewards does not count towards Eligible Spend or ICONS earned.
6.7 When a member returns a product they have purchased due to a change of mind or an Order for a product is cancelled, any Reward which was redeemed in the original Order will not be reinstated to the member’s THE ICONIC Front Row Profile.
6.8 THE ICONIC reserves the right to adjust the way in which Rewards may be earned, issued or redeemed, and may vary or revoke any Rewards issued at its discretion, acting reasonably at all times in accordance with the General Terms and these Program Terms & Conditions.
6.9 Front Row Rewards:
(a) Subject to clause 4 of these Program Terms & Conditions, Front Row Rewards are issued to members when 1,000 ICONS have been accrued in a member’s Reward ICONS balance, and will be available for use within 48 hours following accrual. Once a Front Row Reward has been issued, a member’s Reward ICONS balance will be reduced by 1,000 ICONS. ICONS shown in a member’s Reward ICONS balance that have been converted to a Front Row Reward will not affect a member’s Status ICONS balance.
(b) Multiple Front Row Rewards earned within a 24 hour period will be consolidated and issued once (for example, 3 Front Row Rewards will be issued as a single $30 Front Row Reward).
(c) All Front Row Rewards are valid for redemption for all products available for purchase on the Site (excluding gift cards and Delivery Fees) unless specified otherwise.
6.10 Birthday Rewards:
(a) Subject to clause 6.10(d) below, Birthday Rewards are issued annually on the first day of a member’s birthday month.
(b) The value of the Birthday Reward is dependent on a member’s Status Level.
(c) To receive a Birthday Reward, a member must have supplied their date of birth (day, month and year) in their Customer Account before the first day of their birthday month (for example, if a member’s date of birth is 15 January, they must supply their date of birth by no later than 31 December in order to receive a Birthday Reward).
(d) Members may only register a date of birth once per Customer Account. If a member has entered their date of birth incorrectly, they can update this information within their Customer Account settings. If a member has already received their Birthday Reward and later changes their date of birth in their Customer Account settings, the member will not be entitled to receive an additional Birthday Reward for another 365 day period.
(e) Birthday Rewards are valid for redemption for all products available for purchase on the Site (excluding gift cards and Delivery Fees) unless specified otherwise.
6.11 ICONIC Anniversary Rewards:
(a) ICONIC Anniversary Rewards are issued annually to Stylist, Muse and VIP Status Level members on the first day of the anniversary month of their Customer Account creation date with THE ICONIC.
(b) The value of the ICONIC Anniversary Reward is dependent on whether the member is of Stylist, Muse or VIP Status Level.
(c) ICONIC Anniversary Rewards are valid for redemption for all products available for purchase on the Site (excluding gift cards and Delivery Fees) unless specified otherwise.
6.12 Bonus Rewards:
(a) Bonus Rewards are Rewards that THE ICONIC may issue to members at its discretion from time to time or that members may receive for the completion of Access Extra Offers.
(b) Bonus Rewards may have conditions or limitations placed on their redemption, including but not limited to minimum spend, or certain product or brand exclusions.
7 EXPIRY OF ICONS AND REWARDS
7.1 ICONS shown in a member’s:
(a) Reward ICONS balance - will expire on the date that is 12 months after the ICONS were earned.
(b) Status ICONS balance - will expire at the end of every Membership Year.
7.2 Rewards must be used before the expiry date stated for the Reward in a member’s THE ICONIC Front Row Profile or as otherwise communicated to the member by THE ICONIC.
7.3 Rewards have the following expiry dates:
(a) Front Row Rewards will expire 90 days after the date of issue unless otherwise stated.
(b) Birthday Rewards will expire 30 days after the date of issue unless otherwise stated.
(c) ICONIC Anniversary Rewards will expire 30 days after the date of issue unless otherwise stated.
(d) Bonus Rewards will have variable expiry dates based on the Bonus Reward type and purpose.
7.4 The validity period for Rewards will begin at the time of issue.
7.5 THE ICONIC reserves the right to change the period in which a Reward may be redeemed at any time, upon reasonable prior written notice to members.
7.6 If Rewards are not redeemed by their expiry date, they will automatically expire.
7.7 THE ICONIC will not be liable if a Reward is unable to be redeemed for any reason, unless as a result of THE ICONIC’s negligence or breach of these Program Terms & Conditions.
7.8 THE ICONIC reserves the right to reissue expired ICONS or Rewards at its discretion.
8 ORDER CANCELLATIONS, RETURNS AND ADJUSTMENTS
8.1 Base ICONS earned on the purchase of a product may be deducted from, or reversed or adjusted in a member’s Pending ICONS balance, if the Order for such product is cancelled or a member returns the product due to a change of mind.
8.2 Bonus ICONS earned may be deducted from, or reversed or adjusted in a member’s Pending ICONS balance, if an Order for a product is cancelled or a member returns a product due to a change of mind and the purchase of such product was a condition of the related Access Extra Offer.
8.3 Where a member returns a product purchased using an Access Extra Offer discount, any refund will be calculated by reference to the amount actually paid by the member for that product after application of the Access Extra Offer discount, excluding any Delivery Fees or other amounts that are not refundable under the General Terms.
8.4 THE ICONIC may correct any error, omission or miscalculation in a member’s THE ICONIC Front Row Profile, ICONS balance, Status Level, Rewards, Access Extra Offers or other Program benefits at any time (acting reasonably), including where caused by a technical, system, administrative, pricing or display error.
8.5 If ICONS are shown in a member’s Status ICONS and Reward ICONS balances and an Order for a product is refunded to the member, then the ICONS earned for that Order may be reversed or adjusted from the member’s Status ICONS and Reward ICONS balances accordingly.
8.6 If a Reward was redeemed in an Order that was then partially or fully cancelled or returned, only the ‘cash’ component paid for the Order will be refunded back to the member’s original payment method and the redeemed Reward will be forfeited.
9 TERMINATION OF PROGRAM PARTICIPATION
9.1 Members may terminate their participation in the Program at any time by cancelling their THE ICONIC Front Row Profile. A member’s Customer Account will not be deleted if they cancel their THE ICONIC Front Row Profile. If a member’s Customer Account is deleted, this will also cancel their THE ICONIC Front Row Profile.
9.2 Upon cancellation of a member’s THE ICONIC Front Row Profile or deletion of their Customer Account, all accrued ICONS or Rewards and any other benefits will be forfeited and cannot be reinstated should that member later decide to re-join THE ICONIC Front Row.
9.3 THE ICONIC may adjust ICONS or Rewards, or suspend, cancel or delete a member’s THE ICONIC Front Row Profile or Customer Account for breach of these Program Terms & Conditions or the General Terms or any actual or suspected abuse or fraudulent activity. Abuse or fraudulent activity in this clause 9.3 includes but is not limited to:
(a) frequent or substantial amounts of product return activity or unusual patterns of return activity, multiple claims that products purchased have not been received or multiple claims relating to missing parcels;
(b) recurring non-compliance with THE ICONIC’s returns and refund policies; or
(c) recurring non-compliance with these Program Terms & Conditions.
9.4 THE ICONIC may discontinue THE ICONIC Front Row at any time, by providing reasonable prior written notice to all members. In the event of such discontinuance, all accrued ICONS or Rewards and any other benefits that have not been used or redeemed will be voided.
9.5 THE ICONIC reserves the right to cancel a member’s THE ICONIC Front Row Profile if it becomes inactive where no Order has been placed by the member in a 2-year period. This will not affect or delete the member’s Customer Account.
10 LIMITATION OF LIABILITY AND INDEMNITY
10.1 This clause 10 prevails over all other clauses in these Program Terms & Conditions and, to the extent permitted by law (including the Australian Consumer Law), states THE ICONIC’s entire Liability and members’ sole and exclusive remedies for:
(a) the performance, non-performance, purported performance or delay in performance of these Program Terms & Conditions; or
(b) otherwise in relation to these Program Terms & Conditions, or the entering into or performance of these Program Terms & Conditions.
10.2 Nothing in these Program Terms & Conditions excludes or limits a member’s statutory rights as a consumer or THE ICONIC’s Liability for:
(a) fraud;
(b) any breach of the obligations implied or guaranteed by law (including the consumer guarantees under the Australian Consumer Law); or
(c) any other Liability which cannot be excluded or limited by applicable law.
10.3 In performing any obligation under these Program Terms & Conditions, THE ICONIC’s duty is to exercise reasonable care and skill.
10.4 Subject to clause 10.5 of these Program Terms & Conditions:
(a) To the extent permitted by law (including the Australian Consumer Law), THE ICONIC does not warrant and excludes all Liability in respect of the accuracy, completeness, fitness for purpose or legality of any information accessed using THE ICONIC Front Row.
(b) THE ICONIC excludes all Liability of any kind for the transmission or the reception of or the failure to transmit or receive any material of whatever nature.
(c) THE ICONIC does not accept and hereby excludes any Liability for Breach of Duty other than such Liability arising pursuant to the provisions of these Program Terms & Conditions.
(d) Despite any other provision in these Program Terms & Conditions to the contrary and to the extent permitted by law (including the Australian Consumer Law), in no event shall THE ICONIC, its related bodies corporate, employees, directors or agents, or suppliers be liable for lost profits or anticipated profits or any punitive, exemplary, incidental or consequential loss or damages or the like arising out of or in connection with THE ICONIC Front Row, the supply of goods and services or these Program Terms & Conditions (however arising, including negligence). Members agree to accept sole responsibility for the legality of their actions under the laws that apply to them. Each member agrees that THE ICONIC, its related bodies corporate or suppliers have no responsibility for the legality of a member’s actions.
10.5 Each member indemnifies and holds THE ICONIC and its related bodies corporate, and its and their respective officers, agents and employees, harmless from and against any and all claims, demands, proceedings, losses and damages (actual, special and consequential) of every kind and nature, known and unknown, including all reasonable legal fees, made by any third party due to or arising out of a member’s breach of these Program Terms & Conditions or breach of any law or the rights of a third party.
10.6 This clause 10 will survive termination of a member’s participation in THE ICONIC Front Row.
11 PRIVACY
11.1 Members acknowledge that they have read THE ICONIC’s Privacy Policy and understand that it governs their participation in THE ICONIC Front Row. THE ICONIC may also send a member messages and communicate with them electronically as set out in the Privacy Policy.
11.2 When a member provides THE ICONIC with their email address or mobile phone number, they agree that THE ICONIC may send them electronic marketing messages via various channels and media (including by email, SMS and phone) regarding their membership of the Program, where they have not opted out (as described below) from receiving such electronic marketing messages. Electronic marketing messages may include information about a member’s ICONS balances or any Rewards they have accrued, Status Level, promotions, events and THE ICONIC Front Row updates, or other relevant information in accordance with a member’s consent to receive such marketing messages. A member’s consent to receive electronic marketing messages will be effective until they opt out or unsubscribe as set out in the Privacy Policy.
11.3 A member’s consent to receive certain communications may be implied from the use of certain functional aspects of THE ICONIC Front Row.
12 GENERAL
12.1 Entire agreement: These Program Terms & Conditions, which incorporate the Privacy Policy and General Terms, contain all the terms agreed between a member and THE ICONIC relating to THE ICONIC Front Row and supersedes any prior Program Terms & Conditions published on the Site.
12.2 Assignment: A member may not assign or delegate or otherwise deal with all or any of their rights or obligations under these Program Terms & Conditions. THE ICONIC has the right to assign or otherwise delegate all or any of its rights or obligations under these Program Terms & Conditions to any person.
12.3 Force majeure: THE ICONIC shall not be liable for any breach of its obligations under these Program Terms & Conditions where THE ICONIC is hindered or prevented from carrying out its obligations by any cause outside its reasonable control, including but not limited to pandemic, lightning, fire, flood, extremely severe weather, strike, lock-out, labour dispute, act of God, war, riot, civil commotion, malicious damage, failure of any telecommunications or computer system, compliance with any law, accident (or by any damage caused by any of such events).
12.4 No waiver: No waiver by THE ICONIC of any default of a member’s under these Program Terms & Conditions shall operate or be construed as a waiver by THE ICONIC of any future defaults, whether of a like or different character. No granting of time or other forbearance or indulgence by THE ICONIC to a member shall in any way release, discharge or otherwise affect a member’s liability under these Program Terms & Conditions.
12.5 Notices: Unless otherwise stated within these Program Terms & Conditions, notices to be given to either party shall be in writing and shall be delivered by email supplied by a member to THE ICONIC, or to THE ICONIC at its registered office.
12.6 Third party rights: All provisions of these Program Terms & Conditions apply equally to and are for the benefit of THE ICONIC, its subsidiaries, any holding companies of THE ICONIC, its (or their) related bodies corporate and its (or their) third party content providers and licensors and each shall have the right to assert and enforce such provisions directly or on its own behalf (save that these Program Terms & Conditions may be varied or rescinded without the consent of those parties).
12.7 Survival: The provisions of clauses that either are expressed to survive expiry or termination of these Program Terms & Conditions or from their nature or context it is contemplated that they are to survive, will survive such expiry or termination of these Program Terms & Conditions.
12.8 Severability: If any provision of these Program Terms & Conditions is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and where capable the validity and enforceability of the remaining provisions of these Program Terms & Conditions shall not be affected.
12.9 Governing law: These Program Terms & Conditions (and all non-contractual relationships between a member and THE ICONIC) shall be governed by and construed in accordance with the laws of New South Wales, Australia and both parties hereby submit to the exclusive jurisdiction of the courts of New South Wales, Australia.
13 DEFINITIONS AND INTERPRETATION
13.1 In these Program Terms & Conditions, unless the context otherwise specifies, terms are defined above, in the General Terms or as follows:
(a) Access Extra Offers are offers issued to members from time to time at THE ICONIC’s discretion, including but not limited to offers which allow members the opportunity to earn Bonus ICONS or Bonus Rewards for the purchase of a product on the Site or the completion of another specified activity, or other offers that may be issued to members which provide a discount for the purchase of selected products or brands on the Site.
(b) Customer Account means a member’s customer account with THE ICONIC as described in the General Terms.
(c) Eligible Spend is calculated based on the price paid by a member for a product (inclusive of GST) purchased on the Site but excluding gift card purchases and any Delivery Fees, Voucher use or Reward redemptions.
(d) General Terms means THE ICONIC Terms & Conditions.
(e) ICONS are points that may be earned by members for Eligible Spend or other eligible activities. In these Program Terms & Conditions, ICONS may be described as:
(i) Base ICONS which are ICONS earned through Shop to Collect.
(ii) Bonus ICONS which are ICONS earned for the completion of an Access Extra Offer or issued by THE ICONIC from time to time in accordance with clause 4.7(a) of these Program Terms & Conditions.
(iii) Pending ICONS which are ICONS that have been earned but are not yet “active” and which are shown in a member’s Pending ICONS balance. Pending ICONS may be either moved to a member’s Status ICONS and Reward ICONS balances once certain criteria are met as set out in clause 4, or otherwise adjusted in accordance with clause 8, of these Program Terms & Conditions.
(iv) Reward ICONS which are “active” ICONS that have been earned by a member as shown in the member’s Reward ICONS balance and which will be converted to a Front Row Reward once 1,000 “active” Reward ICONS have been accrued in the member’s Reward ICONS balance.
(v) Status ICONS which are “active” ICONS that have been earned by a member during a Membership Year that contribute towards a member’s Status Level.
(f) Membership Year is the annual period for evaluating a member's Status Level, which commences on the date that member joins or is enrolled into THE ICONIC Front Row until the date that is 365 days later.
(g) Reward means the following rewards that members may receive by participating in THE ICONIC Front Row and which may be used by a member as a discount for their purchase of products on the Site, subject to any limitations set out in these Program Terms & Conditions:
(i) Front Row Reward is a $10 reward that is issued in accordance with clause 6.9 of these Program Terms & Conditions once a member has earned 1,000 ICONS as shown in their Reward ICONS balance.
(ii) Birthday Reward means the Reward which will be issued to members annually on the first day of their birthday month where they have provided details of their date of birth to THE ICONIC in accordance with clause 6.10 of these Program Terms & Conditions.
(iii) ICONIC Anniversary Reward means the Reward which will be issued to “Stylist”, “Muse” and “VIP” Status Level members annually on the anniversary of the member’s Customer Account creation with THE ICONIC.
(iv) Bonus Rewards are Rewards that THE ICONIC may issue to members at its discretion from time to time or for the completion of Access Extra Offers.
(h) Shop to Collect means the purchase of products on the Site which allows members to earn Base ICONS for their Eligible Spend.
(i) Status Level is a member's status level in THE ICONIC Front Row based on the total number of ICONS they have accrued in the Membership Year which are shown in their Status ICONS balance.
(j) THE ICONIC Front Row Profile means a member's THE ICONIC Front Row profile or dashboard which is shown in their Customer Account.
(k) Vouchers or Voucher Code means a discount voucher or promotional code available to be used on the Site.
13.2 In these Program Terms & Conditions:
(a) Headings are for ease of reference only and shall not affect the interpretation or construction of these Program Terms & Conditions.
(b) Words imparting the singular shall include the plural and vice versa. Words imparting a gender shall include every gender and references to persons shall include an individual, company, corporation, firm or partnership.
(c) References to “includes” or “including” or like words or expressions shall mean without limitation.
(d) References to currency, dollars or $ means Australian dollars.
13.3 If there is any inconsistency between these Program Terms & Conditions, the General Terms, Privacy Policy and any specific terms applicable to an Access Extra Offer, Reward, or Voucher, the following order of precedence will apply to the extent of the inconsistency:
(a) Any specific terms applicable to the relevant Access Extra Offer, Reward or Voucher;
(b) These Program Terms & Conditions;
(c) The General Terms; and
(d) The Privacy Policy.
